End-User License Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you and Bellshare Inc. ("Bellshare", "we", "us") governing your use of the Bellshare QuickBooks Automation application and any associated scripts, documentation, and updates (collectively, the "Software"). By installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not use the Software.

1. License Grant

The Software is provided for the internal business use of Bellshare Inc. and its authorized personnel only. Subject to this Agreement, Bellshare grants a limited, non-exclusive, non-transferable, revocable license to install and use the Software to connect to and automate tasks within Bellshare's own QuickBooks Online company.

2. Restrictions

You may not:

• distribute, sublicense, sell, or otherwise make the Software available to third parties;
• use the Software to access any QuickBooks company or account you are not authorized to access;
• reverse engineer, decompile, or attempt to derive source code except to the extent permitted by law;
• remove or alter any proprietary notices; or
• use the Software in violation of any applicable law or the terms of Intuit Inc. or Google LLC.

3. Third-Party Services

The Software interoperates with third-party services, including Intuit QuickBooks Online (via the Intuit Developer API) and Google's Gemini API. Your use of those services is governed by their respective terms and policies. Bellshare is not responsible for third-party services.

4. Ownership

The Software is licensed, not sold. Bellshare and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights.

5. No Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Bellshare does not warrant that the Software will be error-free or uninterrupted, or that it will correctly classify, match, or process any financial record.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BELLSHARE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING OUT OF OR RELATED TO THE USE OF THE SOFTWARE. You are responsible for reviewing the accuracy of any changes the Software proposes or makes to your accounting records.

7. Termination

This Agreement is effective until terminated. Bellshare may terminate it at any time. Upon termination, you must cease all use of the Software. Sections 4 through 6 survive termination.

8. Governing Law

This Agreement is governed by the laws of the jurisdiction in which Bellshare Inc. is organized, without regard to its conflict-of-laws principles.
